1. Introduction

Welcome to Zenixa. These Terms of Service ("Terms") govern your access to and use of the Zenixa website, applications, and streaming services (collectively, the "Service"). By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, subscribers, and others who access or use the Service.

2. Definitions

For the purposes of these Terms of Service:

  • "Service" refers to the Zenixa website, streaming platform, applications, and all related features and content
  • "User," "You," "Your" refers to the individual accessing or using the Service
  • "Zenixa," "We," "Us," "Our" refers to Zenixa and its operators
  • "Account" refers to your registered user account on the Service

  • "Subscription" refers to your paid access plan for the Service
  • "Credentials" refers to your username, password, and server connection details

3. Account Registration

3.1 Creating an Account

To access Zenixa services, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes. Providing false, inaccurate, or misleading information may result in immediate account termination.

3.2 Account Security

You are solely responsible for maintaining the security and confidentiality of your account credentials. You agree to:

  • Keep your username and password secure and confidential at all times
  • Not share your account credentials with any third party
  • Not allow multiple users to access the Service using a single set of credentials beyond the device limit specified in your plan
  • Notify Zenixa immediately if you suspect any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.3 Account Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal authority to enter into these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Zenixa offers various subscription plans with different durations, features, and pricing tiers. The details of each plan, including pricing and included features, are available on our website. We reserve the right to modify, add, or remove subscription plans at any time.

4.2 Payment Terms

All subscription fees are due in full at the time of purchase. Payments are processed through secure third-party payment providers. By making a payment, you represent that:

  • You are authorized to use the payment method provided
  • The payment information you provide is accurate and complete
  • You will pay all charges incurred through your account at the prices in effect when incurred

4.3 Non-Recurring Billing

Zenixa subscriptions are one-time payments for the selected duration. Subscriptions do not auto-renew. When your subscription period expires, your access to the Service will end. You may purchase a new subscription at any time to continue using the Service.

4.4 Free Trial

Zenixa offers a free 24-hour trial with full access to all features. The trial is limited to one per household or IP address. No payment information is required for the trial. The trial is intended for evaluation purposes only, and abuse of the trial system may result in denial of service.

4.5 Pricing

All prices are displayed in US Dollars (USD) unless otherwise specified. Zenixa reserves the right to change pricing at any time without prior notice. Price changes will not affect active subscriptions currently in their paid period.

5. Use of the Service

5.1 License Grant

Subject to your compliance with these Terms, Zenixa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial entertainment purposes. This license does not include the right to:

  • Resell, redistribute, or sublicense the Service or any content
  • Copy, reproduce, download, or record any content from the Service
  • Modify, adapt, or create derivative works based on the Service
  • Use the Service for any commercial or public performance purpose

5.2 Acceptable Use

You agree to use the Service in compliance with all applicable laws, regulations, and these Terms. You shall not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Share, sell, trade, or distribute your account credentials to third parties
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
  • Use any automated means, bots, scrapers, or crawlers to access the Service
  • Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Service
  • Circumvent, disable, or interfere with any security features of the Service
  • Record, capture, download, or redistribute any streams or content
  • Use the Service to transmit any malware, viruses, or harmful code
  • Exceed the maximum number of simultaneous device connections allowed by your subscription plan

5.3 Device Connections

Each subscription plan specifies a maximum number of simultaneous device connections. You agree to use the Service only on the number of devices permitted by your plan. Exceeding the device limit may result in service interruption, account suspension, or termination.

6. Content and Availability

6.1 Content Availability

Zenixa provides access to a wide range of live television channels, movies, TV series, and other content. However, we do not guarantee the availability of any specific channel, program, or content at any time. Content availability may vary based on:

  • Your geographic location
  • Agreements with content providers and broadcasters
  • Technical limitations or requirements
  • Licensing restrictions and changes
  • Your subscription plan level

6.2 Content Changes

Zenixa reserves the right to add, remove, or modify content at any time without prior notice. Changes to the channel lineup or content library do not constitute grounds for a refund unless the changes substantially and materially reduce the value of the Service.

6.3 Streaming Quality

We strive to deliver the highest possible streaming quality including Full HD and 4K where available. However, actual streaming quality depends on several factors including your internet connection speed, network congestion, device capabilities, and server load. Zenixa does not guarantee any specific streaming resolution or quality level.

7. Service Availability and Uptime

7.1 Uptime Commitment

Zenixa strives to maintain a 99.9% service uptime. However, we do not guarantee uninterrupted, continuous, or error-free access to the Service. Temporary service interruptions may occur due to:

  • Scheduled maintenance and system updates
  • Emergency maintenance to address critical issues
  • Internet connectivity issues beyond our control
  • Force majeure events including natural disasters, power outages, or governmental actions
  • Third-party service provider outages
  • DDoS attacks or other security incidents

7.2 Scheduled Maintenance

Zenixa may perform scheduled maintenance during low-traffic hours. We will make reasonable efforts to notify users in advance of planned maintenance windows. During maintenance periods, some or all features of the Service may be temporarily unavailable.

8. Intellectual Property

8.1 Ownership

All intellectual property rights in and to the Service, including but not limited to the website, software, logos, trademarks, service marks, trade names, and all content provided through the Service, are owned by Zenixa or its licensors and are protected by applicable intellectual property laws.

8.2 Restrictions

You may not use, copy, reproduce, modify, distribute, display, perform, or create derivative works from any content or materials from the Service without the prior written consent of Zenixa. Any unauthorized use of our intellectual property may violate copyright, trademark, and other applicable laws.

8.3 Trademarks

Zenixa, the Zenixa logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zenixa or its affiliates. You may not use such marks without the prior written permission of Zenixa.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Zenixa DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any content
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

Zenixa does not warrant or guarantee the quality, accuracy, or availability of any specific content, channel, or feature. Your use of the Service is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Zenixa, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute services
  • Service interruptions or loss of access
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party on the Service
  • Any other matter relating to the Service

In no event shall Zenixa's total aggregate liability to you for all claims arising from or related to the Service exceed the total amount you have paid to Zenixa during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Zenixa, its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from or related to:

  • Your use of and access to the Service
  • Your violation of any provision of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable law, rule, or regulation
  • Any content you submit, post, or transmit through the Service
  • Any misrepresentation made by you

13. Account Suspension and Termination

13.1 Termination by Zenixa

Zenixa reserves the right to suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Breach of any provision of these Terms of Service
  • Fraudulent, illegal, or abusive activity
  • Sharing or unauthorized distribution of account credentials
  • Repeated violation of device connection limits
  • Non-payment or payment disputes and chargebacks
  • At the request of law enforcement or other government agencies
  • Extended periods of account inactivity
  • Unexpected technical or security issues

13.2 Termination by User

You may stop using the Service at any time. Since subscriptions do not auto-renew, no cancellation action is required. If you wish to delete your account and associated data, please contact our support team. Account deletion is permanent and cannot be undone.

13.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service ceases immediately
  • Any remaining subscription time is forfeited (no prorated refunds for Terms violations)
  • Your account data may be retained for a reasonable period as required by law or for legitimate business purposes
  • Provisions of these Terms that by their nature should survive termination will continue to apply

14. Refund Policy

Our refund terms are detailed in our separate Refund Policy. By using the Service, you acknowledge and agree to the terms set forth in our Refund Policy. Key points include:

  • Refunds may be available within 24 hours for unresolvable technical issues
  • A free 24-hour trial is available to test the Service before purchase
  • Refunds are not issued for change of mind, partial usage, or Terms violations
  • Service credits or extensions may be provided for extended outages

15. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or applications that are not owned, operated, or controlled by Zenixa. These include payment processors, social media platforms, and IPTV player applications. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

Your use of any third-party service is at your own risk and subject to that service's terms and conditions. Zenixa encourages you to review the terms and privacy policies of any third-party services you access through or in connection with the Service.

16. VPN Usage

Zenixa does not prohibit the use of Virtual Private Network (VPN) services while accessing the Service. In fact, we recommend using a VPN for enhanced privacy and to prevent ISP throttling of IPTV traffic. However, Zenixa is not responsible for any performance issues caused by VPN usage, and we do not endorse any specific VPN provider.

17. Force Majeure

Zenixa shall not be held liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, embargoes, acts of governmental authorities, fire, floods, earthquakes, power outages, internet outages, telecommunications failures, epidemics, or pandemics.

18. Governing Law

These Terms of Service shall be governed by, construed, and enforced in accordance with applicable laws, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted in accordance with applicable jurisdictional requirements.

19. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting Zenixa support. If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit the dispute to binding arbitration in accordance with applicable arbitration rules and regulations.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Zenixa.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Waiver

The failure of Zenixa to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Any waiver must be in writing and signed by an authorized representative of Zenixa.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Zenixa regarding the use of the Service. These Terms supersede all prior and contemporaneous agreements, communications, representations, and proposals, whether oral or written, between the parties.

23. Changes to These Terms

Zenixa reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date. We may also notify you via email or through the Service.

Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service. It is your responsibility to review these Terms periodically for changes.
